Thomas Eggar LLP offers a comprehensive company secretarial and accounts support service to ensure that your company complies with its legal and compliance obligations. Not only does this help relieve directors of administrative pressure but also allows you to focus on what is important.
Automatic fines are levied for late filing of accounts and payment of tax, and directors and secretaries in default of the many filing requirements of the Companies Act 2006 (the Act) render themselves liable to prosecution, and, in serious cases, disqualification.
The duties owed by directors to their companies have evolved through case law. The Act introduces a statutory statement of directors' duties that replaces many of those existing common law and fiduciary duties. In addition to the codification under the Act of certain common law duties of directors, statute imposes a number of duties on directors personally and numerous obligations on companies. If the directors fail to ensure that the company's obligations are discharged, penalties may be imposed on both the company and the directors individually.
At Thomas Eggar LLP we have an experienced company secretarial team which supports our commercial clients with essential company secretarial tasks. Whether you are just starting up your business or are an established business, we at Thomas Eggar LLP can assist. We provide a comprehensive service which includes:
Thomas Eggar LLP provides company secretarial services using Thomas Eggar Secretaries Limited (TESL), a company wholly owned by the firm.
TESL will act as the company secretary and provide this firm's address as the registered office address for your company. We are also able to act as the service address for individual directors, which avoids the need for a home address to be available on the public record.
TESL can provide the complete range of company secretarial services and be responsible for:
For companies which have traded throughout the year we can arrange for this firm's team of accountants to contact you with an estimate of the cost for preparing the accounts on your behalf.
TESL's annual fee for acting as Company Secretary starts at £450 plus VAT plus disbursements payable in advance. Disbursements will be £15 for filing the annual return electronically or £30 for filing the annual return in paper format. The fee is dependent on the size and activity of your company.
The Act requires all companies to have a registered office at all times to which all communications and notices may be addressed. A document may be served on a company by leaving it at, or sending it by post to, the company's registered office.
TESL can act as your company's registered office address by using our Belmont House office in Crawley so that we receive all communications and notices addressed to the registered office. Our fee for providing this service is £175 plus VAT per annum payable in advance.
At Thomas Eggar LLP our company secretarial team works closely with the firm's accounting specialists.
Our accounting specialists can complete the annual accounts which are required by both the Registrar of Companies and H M Revenue & Customs (HMRC) and prepare the Annual Corporation Tax Return. We can also correspond on the company's behalf with HMRC and assist with the advice and administration of PAYE (if you have any employees). Our charges will depend on the number of transactions carried out by the company during the year and its type of business.
We can also offer a range of accounts, tax planning & compliance services:
